Support Policy

EthosShop Affiliate Program Operating Agreement

Welcome to the EthosShop Affiliate website ("Affiliate Website"), where you can manage your marketing relationship with the relevant EthosShop listed in Appendix 1.

Any person or entity ("you" or "Affiliate") who participates or intends to participate in our affiliate promotion program ("Affiliate Program") must accept this Affiliate Program Operating Agreement ("this Agreement") and may not modify this Agreement. By registering or using the Affiliate Website, you agree to this Agreement, including the Program Rules, and the Affiliate Program Participation Requirements, Affiliate Program IP License Agreement, Affiliate Program Service Fee Schedule, Affiliate Program Trademark Guidelines, etc. mentioned in this Agreement. Please read the foregoing agreements carefully.

Introduction to the Affiliate Program

The Affiliate Program allows you to advertise EthosShop products on your website, user-designed social media content, or online software application (your "Website") on the EthosShop website link in Appendix 1 or other website links listed on the EthosShop website Affiliate Program Service Fee Schedule, thereby earning service fees. The link should correctly use the specific "tracking" link format provided by us and comply with the provisions of this Agreement ("Specific Link").

When our customers click on the Specific Link to purchase goods or services on the EthosShop website, or take other actions, you will be able to earn service fees for our customers' valid purchases according to the EthosShop website Affiliate Program Service Fee Schedule (and the restrictions therein). To facilitate your advertising of these projects or services, we will provide you with data, graphics, text, link formats, widgets, links, marketing content and other link tools, application interfaces and other information related to the Affiliate Program ("Program Content"). The Program Content explicitly excludes any data, graphics, text or other information or content related to products sold on any website other than the EthosShop website.

Affiliate Program Compliance Requirements

You must comply with this Agreement in order to participate in the Affiliate Program and collect fees.

You must promptly provide us with any information to prove your compliance with this Agreement.

If you breach this Agreement, or breach the terms and conditions of any other applicable EthosShop marketing agreement, in addition to any other rights and remedies available to us, we shall be entitled to permanently (to the extent permitted by applicable law) withhold (and you agree that you will not be eligible to receive) all or part of the amounts due to you under this Agreement, whether or not directly related to your breach of this Agreement, without notice, and without prejudice to any right of EthosShop to recover damages in excess of such amount.

EthosShop Customers

Our customers do not become your customers simply because you participate in the Affiliate Program. Therefore, as between us and you, the prices, conditions of sale, rules, policies and operating procedures set forth on the EthosShop website regarding customer orders, customer service and the sale of goods will apply to those customers. We may modify them at any time. If our customers contact you, you should not deal with them directly; if our customers contact you regarding matters related to the EthosShop website, you should inform them that customer service issues must be resolved in accordance with the contact information on the EthosShop website.

Warranties

You represent, warrant and agree that: (a) you will participate in the Affiliate Program and set up, maintain and operate your website in accordance with the provisions of this Agreement; (b) your participation in the Affiliate Program or setting up, maintaining and operating your website will not violate any applicable laws, statutes, regulations, rules, orders, authorizations, licenses, guidelines, codes of practice, industry standards, self-regulatory rules, judgments, rulings, and other requirements of any governmental agency with jurisdiction over you (including all such provisions applicable to communications, data protection, advertising and marketing);

(c) you have the legal capacity to enter into this Agreement (for example, you are not a minor or a person who is legally prohibited from doing so). and (d) you have independently evaluated the advisability of participating in the Associates Program and are not relying on any representations, warranties or statements expressly set forth in this Agreement; (e) you will not participate in the Associates Program or use any other Offered Service if you are subject to U.S. sanctions or sanctions imposed by the government of the country in which you use any Offered Service consistent with U.S. law; (f) you will comply with all U.S. export and re-export restrictions, as well as non-U.S. export and re-export restrictions consistent with U.S. law applicable to goods, software, technology and services; and (g) the information you provide in connection with the Associates Program is accurate and complete at all times. You can update your information by logging into your account on the Amazon website and selecting "Account Settings".

We make no representations, warranties or guarantees about the traffic and charges you may expect in connection with the Associates Program at any time. We are also not responsible for any actions you take based on your predictions.

Publicizing Yourself as an Affiliate

You must clearly state the following or any substantially similar statement permitted previously in this Agreement on your website or other locations where EthosShop authorizes you to display or use Program Content: "As an EthosShop Affiliate, I earn money from qualifying purchases."

Except for the foregoing disclosure, you may not make any other public advertising about this Agreement or your participation in the Affiliate Program without our prior written permission. You may not misrepresent or embellish the relationship between us and you (including by indicating or implying that we support, sponsor, or endorse you), or indicate or imply any relationship or connection between us and you or others, except as expressly permitted by this Agreement.

Term and Termination

The term of this Agreement begins on the date you register for or use the Affiliate Site. Either you or we may terminate this Agreement at any time, without cause, (and automatically without the need for court action if permitted by applicable law), by giving the other party written notice of termination, and such termination shall be effective 7 calendar days from the date of notice. You may give notice of termination by logging into your Affiliate Site account and selecting the option to close your account in Account Settings. In addition, we may terminate this Agreement or suspend your account immediately upon written notice to you for any of the following: (a) you materially breach this Agreement; (b) you fail to correct any other breach of this Agreement (including any Program Rules) within 7 days of our notifying you; (c) we believe that your participation in the Associates Program may expose us to potential claims or liabilities; (d) we believe that you or your participation in the Associates Program may damage our brand or reputation; (e) your participation in the Associates Program has been used for fraudulent, deceptive or illegal activities; (f) we believe that we are or may become subject to tax requirements related to this Agreement or the activities of either party under this Agreement; (g) we have previously terminated this Agreement (or suspended your account) for any reason with respect to you or another person we determine to be associated with or acting in concert with you; or (h) we terminate the Associates Program, although we normally offer it to participants. For the avoidance of doubt and without limitation to the foregoing (a), any breach of Section 5 and the Program Rules will be deemed a material breach of this Agreement.

After termination, we may settle outstanding service fees with you after a reasonable period of time to ensure the accuracy of the payment amount (for example, if a customer cancels an order or returns a product).

Upon termination of this Agreement, all rights and obligations of the parties will be cancelled, including any and all licenses related to this Agreement, but the rights and obligations set forth in Sections 3, 4, 5, 6, 7, 8, 10 and 11 of this Agreement and the Program Rules, as well as our payment obligations for outstanding service fees under this Agreement, will continue to be effective. Termination of this Agreement does not relieve either party of liability for breach of contract that has occurred prior to termination.

Disclaimer

The Affiliate Program, any products and services offered on the EthosShop website, specific links, link formats, content, product advertising APIs, data feeds, product advertising content, our and our affiliates' website domains, trademarks and logos (including the EthosShop logo), and all technology, software, functionality, materials, data, images, text and other intellectual property, other information and content provided by us or our affiliates or licensors under the Affiliate Program (collectively, the "Services") are provided on an "as is" and "as available" basis. Neither we nor our affiliates or licensors make any representations or warranties of any kind, whether express, implied, statutory or otherwise, with respect to the Services. We and our affiliates and licensors disclaim all warranties with respect to the Services, including any implied warranties of title, merchantability, satisfactory quality, fitness for a particular purpose or non-infringement, and any warranties arising out of any law, custom, course of dealing, performance or usage of business. We may discontinue the Services at any time and from time to time, or change the nature, features, functionality, scope or operation of any of the Services, or any of the Services. WE, OUR AFFILIATES AND OUR LICENSORS DO NOT WARRANT THAT THE SERVICES WILL BE AVAILABLE, WILL FUNCTION AS DESCRIBED OR IN A PARTICULAR MANNER, WILL BE UNINTERRUPTED, ACCURATE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS. WE, OUR AFFILIATES AND OUR LICENSORS ARE NOT LIABLE FOR: (A) ANY ERRORS, INACCURACIES, VIRUSES, MALWARE OR SERVICE INTERRUPTIONS, INCLUDING POWER OUTAGES OR SYSTEM FAILURE; OR (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION, DELETION, DESTRUCTION, DAMAGE OR LOSS OF YOUR WEBSITE OR ANY DATA, IMAGES, TEXT OR OTHER INFORMATION OR CONTENT. NO ADVICE OR INFORMATION OBTAINED BY YOU FROM US OR OTHER PERSON OR ENTITY OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. FURTHERMORE, WE, OUR AFFILIATES AND OUR LICENSORS WILL NOT BE LIABLE FOR ANY COMPENSATION, REMEDY OR DAMAGES ARISING FROM (X) LOST PROFITS OR REVENUE, ANTICIPATED SALES, GOODWILL OR OTHER BENEFITS, (Y) INVESTMENTS, EXPENSES OR EXPENSES INCURRED BY YOU AS A RESULT OF YOUR PARTICIPATION IN THE ASSOCIATES PROGRAM, OR (Z) YOUR SUSPENSION OR TERMINATION OF THE ASSOCIATES PROGRAM. NOTHING IN THIS SECTION 7 WILL CREATE OR Limitation of Liability

We, our affiliates and our licensors shall not be liable for indirect, incidental, special, consequential or punitive damages, or any loss of revenue, profits, goodwill, use or data arising out of the provision of the Services, even if we have been advised of the possibility of such damages. In addition, our aggregate liability for the provision of the Services shall not exceed the total amount of the service fees paid or payable to you in the twelve months prior to the date of the event giving rise to the claim. You hereby waive any rights or remedies you may have in equity, including the right to seek specific performance or injunction from a court or other equitable relief related to this Agreement. Nothing in this paragraph shall apply to limit liability that cannot be limited under applicable law.

Indemnification

To the maximum extent permitted by applicable law, we assume no liability for anything directly or indirectly related to the establishment, maintenance, operation of your website (including your use of any provided services) or your breach of this Agreement. You agree to defend, indemnify and hold us, our affiliates and licensors, and our and our respective employees, officers, directors and representatives harmless from and against all claims, losses, damages, liabilities, costs and expenses (including attorneys' fees) arising out of: (A) your website or any materials displayed on your website, including your website or the combination of such materials with other applications, content or programs; (B) the use, development, design, production, manufacturing, advertising, promotion or marketing of your website or any materials displayed on your website; (C) your use of any of the Service Offerings, whether such use is authorized by this Agreement or in violation of this Agreement or applicable law; (D) your breach of any term or condition of this Agreement (including any Program Rules); or (E) the negligent or intentional conduct of you or your employees. We or our designees may take legal action and initiate any proceedings on behalf of any EthosShop Party, including by special representation, to exercise or defend legal claims or protect our rights, including to enforce this Section.

Governing Law and Disputes

Any disputes arising out of or relating to the Affiliate Program or this Agreement (including any actual or alleged breach thereof), any transactions or activities under this Agreement, or your relationship with us or any of our affiliates, shall be subject to the Governing Law and Disputes provisions of the applicable EthosShop website set forth in Appendix 2.

Taxes

Any taxes and related obligations arising out of or relating to the Affiliate Program or this Agreement (including any actual or alleged breach thereof), any transactions or activities under this Agreement, or your relationship with us or any of our affiliates, shall be subject to the Tax provisions of the applicable EthosShop website set forth in Appendix 3.
